MacResQ & MacWorks Announce Merger

MACRESQ INDUSTRIES, INC AND MACWORKS, LLC ANNOUNCE MERGER AGREEMENT

Concord, CA and Overland Park, KS -- August 23, 2000 -- MacResQ Industries,
Inc. and MacWorks, LLC announced today that they have agreed to merge their
companies. The combination will create a diversified technology company
that will continue to offer its core products and services to customers
worldwide, while at the same time beginning an aggressive expansion plan to
offer new products and services to both existing and new customers.

The combined company, which will operate under the name eResQ, will have
facilities in both Concord, California and Overland Park, Kansas. eResQ
will consolidate its sales and marketing efforts at its California location
and move all inventory and product distribution to its facilities in
Overland Park, Kansas.

Upon completion of the merger, which is expected by October 2000, Jim
Harris, MacWorks' Chief Executive Officer will be Chairman and Chief
Financial Officer of eResQ. Chris Baumann, MacResQ Industries' President,
will be Chief Technology Officer. Shannon Jean, MacResQ Industries' Chief
Executive Officer, will be President.

expansion plans," said Jim Harris, CEO of MacWorks, LLC. "Both companies
have expertise in different, yet complementary areas. As a combined entity,
we will focus on offering increased levels of service and reaching more
customers both locally and globally."
